1. Acceptance of Terms

By accessing or using the website and services of SAYAM Systems Co., Ltd. ("SAYAM Systems", "Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

These Terms and Conditions constitute a legally binding agreement between you and SAYAM Systems Co., Ltd., a company incorporated under the laws of Thailand, with its principal office in Bangkok.

2. Service Description

SAYAM Systems provides professional IT services including but not limited to:

  • Cybersecurity services (penetration testing, vulnerability assessment, security audits, incident response)
  • Compliance consulting (PDPA, ISO 27001, security policy development)
  • Cloud and infrastructure management (cloud administration, hybrid cloud, server management, backup and disaster recovery)
  • Software development services (web development, workflow automation, system integration, API development)

3. Engagement and Scope

All service engagements are governed by individual Statements of Work (SOW) or service agreements that define the specific scope, deliverables, timelines, and fees for each engagement.

Any changes to the agreed scope must be documented in writing and approved by both parties before implementation.

4. Fees and Payment

Fees for our services are as specified in the applicable Statement of Work or service agreement. All fees are quoted in Thai Baht (THB) unless otherwise specified.

Payment terms are net 30 days from the date of invoice unless otherwise agreed in writing. Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by Thai law, whichever is lower.

We reserve the right to suspend services if payment is overdue by more than 30 days.

5. Intellectual Property

All intellectual property rights in our pre-existing tools, methodologies, templates, and frameworks remain the property of SAYAM Systems. Client-specific deliverables produced under a service engagement are owned by the client upon full payment.

The content, design, and code of this website are the property of SAYAM Systems and are protected by copyright and other intellectual property laws.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of a service engagement. This obligation survives the termination of any engagement for a period of three (3) years.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

7. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the Thailand Personal Data Protection Act (PDPA) and, where applicable, the EU General Data Protection Regulation (GDPR).

Where we process personal data on behalf of a client, we will enter into a separate data processing agreement as required by applicable law.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. If any service fails to meet this warranty, our sole obligation is to re-perform the deficient service.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL SERVICES AND THIS WEBSITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAYAM SYSTEMS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY SERVICE ENGAGEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT FOR THE SPECIFIC ENGAGEMENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL SAYAM SYSTEMS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless SAYAM Systems and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your use of our services.

11. Termination

Either party may terminate a service engagement with 30 days' written notice. In the event of termination, the client shall pay for all services rendered up to the effective date of termination.

We may terminate or suspend access to our website or services immediately, without prior notice, if you breach these Terms and Conditions.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from force majeure events, including but not limited to natural disasters, war, terrorism, government actions, epidemics, power failures, or internet service disruptions.

13. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, specifically the Thai Civil and Commercial Code.

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Thailand.

14. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
